These are our terms and conditions for use of this website irrespective of how you access it.   These terms and conditions apply whenever you access the site.   By using the site, you are deemed to have accepted these terms and conditions.

Definition

In these terms and conditions reference to “the Chamber” means “Waterford Chamber of Commerce Limited”, and includes its servants or agents.

Registration by users only

Only registered users may access the members’ section of the website.   Users will not do anything which would assist anyone who is not a registered user to gain access to the member’s section of the website.

Accuracy of Information

While every effort has been made to ensure the accuracy of the information/material contained on this website, the Chamber assumes no responsibility for, and gives no guarantees, undertakings or warranties concerning the accuracy, completeness or up-to-date nature of the information provided on the website and does not accept any liability whatsoever arising from any errors or omissions, if any.

Inappropriate use

Users will not post any messages that are inappropriate, obscene, vulgar, sexually-oriented, hateful, threatening, or otherwise violative of any laws.

The administrators of this website will attempt to keep all objectionable messages off this forum.   All messages express the views of the author, and the Chamber does not accept liability for the content of any message.   Neither does the Chamber accept liability for any loss, damage, inconvenience, or expense caused as a result of relying on any such message.

The Chamber reserves the right to remove, edit, move or close any message or thread for any reason.   The Chamber may, at its discretion, cancel access by any user to the website immediately and without giving advance notice.

Prohibition on reproduction, transmission, and marketing

You must not reproduce any part of the website or any material thereon or transmit it to, or store it in, any other website or disseminate any part of the material in any other form, unless the Chamber gives written permission in this regard.

The profile and contact information contained in the members’ section of the website shall not be utilised for the purpose of direct marketing or other similar activity.

Liability for publication

Users may submit material for publication on the site.   The Chamber accepts no liability in respect of any material submitted by users and published by it and is not responsible for its content and accuracy.

In the event of such publication, the user accepts absolute responsibility in respect of any action arising from such publication and fully indemnifies the Chamber in respect of same.

Publication of any material will be at the sole discretion of the Chamber of Commerce.

Virus / infection / interruption / delay

The Chamber does not warrant that the website or any of its content is virus free.   Users must take precautions in this respect as the Chamber accepts no responsibility for any infection by virus or other contamination or by anything that has destructive properties, or for any damage, loss, inconvenience, or expense arising therefrom.

Although the Chamber will make every effort to provide constant, uninterrupted access to the website, it does not guarantee same.   The Chamber accepts no responsibility or liability for any interruption or delay howsoever caused.

Jurisdiction

These terms and conditions are governed by Irish law and the Chamber and users agree to submit to the exclusive jurisdiction of the Irish courts.

By registering with BusinessVillage.ie and accessing this website, you are confirming that you have read and accepted the terms and conditions.

Warranty and Indemnity Concerning Defamatory Material

In submitting statements, messages, information, opinions, commentary and any other material (“Material”) to the businessvillage.ie website, whether for publication on the businessvillage.ie website or otherwise, the member is deemed to represent, warrant and undertake to the Chamber that:

(1) the Material is fully compliant with and does not contravene any of these terms and conditions of use and, without prejudice to the generality of the foregoing, that (a) the Material is neither defamatory  nor disclosed in breach of an obligation of confidence and (b) the publication of the Material will not contravene the laws of any jurisdiction;

(2) all intellectual property rights in the Material are (a) legally and beneficially owned by the member and that the Material does not infringe the intellectual property rights of any third party; (b) or the member holds a licence from the legal and beneficial owner of the Material which permits the Material to be published on the businessvillage.ie website in the manner contemplated by these terms and conditions of use. For the purpose of this Clause “intellectual property rights” means all intellectual property rights wherever in the world arising, whether registered or unregistered (and including any application), including copyright, know-how, confidential information, trade secrets, business names and domain names, trade marks, service marks, trade names, patents, petty patents, utility models, design rights, semi-conductor topography rights, database rights and all rights in the nature of unfair competition rights or rights to sue for passing off and infringements and the right to damages in respect of such rights and all rights to priority in the above.

In consideration of being afforded the opportunity to have access to the businessvillage.ie website each member hereby agrees to indemnify and keep indemnified the Chamber on demand in respect of all liability, including all reasonable costs, expenses (including without limitation all legal expenses) charges, losses, damage which the Chamber may suffer, incur or pay as a consequence of or by reference to or which would not have been suffered or incurred but for a dispute, proceedings, litigation or claim made against the Chamber in consequence of the publication by the Chamber of the Material.

None of the obligations under the above indemnity shall be deemed to be qualified, modified or discharged by reason of any review or enquiry made by or on behalf of the Chamber in relation to the Material and no information relating to the Material in the possession of the Chamber shall prejudice any claim which the Chamber shall or may be entitled to bring or may operate to reduce any amount recoverable by the Chamber under the above indemnity.

Any sum payable pursuant to the above indemnity shall be paid free and clear of all deductions and / or withholdings save only as may be required by law.

Each member hereby undertakes not to disclose the access password to any other person without obtaining an assurance that such person agrees to adhere to these terms and conditions of use. In the event that a member has disclosed the access password in contravention of the foregoing requirement such member shall be deemed to have authorised such person to submit the Material to the businessvillage.ie website and any such Material submitted by the person shall be deemed to be made for and on behalf of such member.
